About these terms

These terms apply to orders placed through our website and paid for by card at checkout. They apply to business customers only.

If you hold a credit account with us, different terms apply to your orders and those terms will have been provided to you separately.

Please read these terms before you order. When you place an order you are agreeing to them.

Terms requiring particular attention

Some of the terms below affect your rights in ways you may not expect. We are setting them out here so that you can see them before you order, rather than leaving you to find them.

Clause 8, Schedule 1 We do not give refunds when you cancel. Instead, the full value of your order stays with you as account credit, which you can spend on a future order within 12 months.

Clause 8.3 You cannot cancel an order within 48 hours of your delivery slot. Inside that window your order stands and we will deliver it.

Clause 7 Changes to a confirmed order are at our discretion and depend on staff, stock and delivery availability. We are not obliged to accept them.

Clause 9 Delivery times are not guaranteed. We give you a target window and we work hard to hit it, but it is a target and not a promise. Clause 9.6 sets out the credit we give if we are significantly late, and that credit is your only remedy for lateness.

Clause 4 The minimum order value is £35.00 per delivery address per delivery slot.

Clause 14 Our liability to you is limited, and some types of loss are excluded. Clause 14.2 lists what we never limit.

Clause 2 These terms are for business customers. By ordering you confirm you are buying for the purposes of your business.

This section is a summary given so that these terms are properly brought to your attention before you order. It is not itself an operative term, and if it differs from the clause it refers to, the clause applies.

1. Definitions

In these terms:

"Account Credit" means a credit balance we hold in your name, governed by clause 8 and Schedule 1.

"Business Day" means Monday to Friday, excluding public holidays in England.

"Confirmation" means the email we send confirming that we have accepted your Order.

"Contract" means the contract between us formed under clause 3, consisting of the Confirmation and these terms.

"Delivery Address" means the address, and where you specify one the room, floor, entrance or loading bay, shown on the Confirmation.

"Delivery Slot" means the target delivery window shown on the Confirmation.

"Event" means the occasion your Order is for.

"Final Changes Deadline" means 48 hours before the start of the Delivery Slot.

"Guest" means anyone who is intended to eat, or does eat, any part of your Order.

"Order" means the order you place through our website.

"Price" means the total shown at checkout, as varied under these terms.

"we", "us", "our" means Brew. Tomorrow Limited trading as brew. Catering.

"you", "your" means the business named on the Order.

References to writing include email. They do not include text message, instant messaging or a phone call, unless we confirm otherwise in writing. "Including" and similar words are illustrative and do not limit what comes before them. References to a statute include any amendment or replacement of it. Headings do not affect interpretation. The Schedule forms part of these terms.

2. Who these terms are for

2.1 These terms apply to business customers only. When you place an Order you confirm that you are acting for the purposes of your business, trade, craft or profession, and not as a consumer.

2.2 You must give us the name of the business placing the Order, and the person placing it must have authority to commit that business.

2.3 We do not sell to consumers through this website. If you are ordering for personal, domestic or household purposes, please do not place an Order. If it becomes clear that an Order has been placed by a consumer, we may cancel it and refund the card in full.

3. How an Order is placed, and when a Contract is made

3.1 Our website, menus, prices and any quotation are an invitation to order. They are not an offer.

3.2 Your Order is an offer to buy from us on these terms. Paying at checkout does not create a Contract and does not mean we have accepted your Order.

3.3 A Contract is made only when we send you a Confirmation. If we do not send a Confirmation, there is no Contract.

3.4 We may decline an Order. Reasons include capacity, ingredient availability, distance, staffing, the nature or location of the Event, or an Order below the minimum value. We do not have to give a reason. If we decline, we will refund your card in full and promptly, and we will have no further liability to you.

3.5 You are responsible for the accuracy of your Order, including headcount, dietary and allergen requirements, Delivery Address, Delivery Slot, access arrangements and site contact details. Please check your Confirmation when it arrives and tell us straight away if anything is wrong.

3.6 These terms are the only terms that apply. Any purchase order, order form, supplier portal, procurement policy or similar document you send us, whether before or after your Order, is for your own internal records. It has no contractual effect and does not change these terms, even if we acknowledge it or quote a reference number from it.

3.7 Nothing we do amounts to accepting terms other than these. That includes preparing food, quoting your purchase order number, delivering your Order, signing a delivery note, goods received note or site register, or completing a supplier registration form.

3.8 Only a director of Brew. Tomorrow Limited can agree a change to these terms, and only in writing. Our kitchen, delivery and sales teams cannot vary them.

4. Minimum order value

4.1 The minimum order value is £35.00 per Delivery Address per Delivery Slot.

4.2 It is calculated on food and drink only. It does not include delivery charges, equipment hire, service charges or any other additional charge.

4.3 You cannot combine separate Delivery Addresses, separate Delivery Slots, separate Events or separate cost centres to reach the minimum.

4.4 If we accept an Order below the minimum, that is a one-off and does not waive this clause for any other Order.

4.5 We may change the minimum on 30 days' notice on our website. Any change will not affect Orders we have already confirmed.

5. Payment

5.1 Payment is made in full by card at the point of order. You cannot place an Order without paying for it.

5.2 The Price is the amount shown at checkout.

5.3 If we decline your Order under clause 3.4, or cancel it under clause 8.7, we will refund your card in full.

5.4 If we agree to a change under clause 7 that increases the Price, the additional amount is payable by card before we confirm the change.

5.5 Please talk to us before you talk to your bank. If you are unhappy with an Order, clause 13 sets out how to raise it with us, and we would much rather sort it out directly.

5.6 If you raise a chargeback or payment dispute in respect of an Order we have delivered, or in respect of an Order that has been cancelled and credited to your Account Credit under clause 8:

(a) the disputed sum becomes payable to us again as a debt;

(b) any Account Credit issued in respect of that Order is cancelled, so that you are not credited twice; and

(c) you must pay any fee our payment provider charges us in connection with the dispute.

5.7 If any sum is not paid when due, we are entitled to interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

6. VAT

6.1 We are not currently registered for VAT. No VAT is charged on or included in any Price, and we do not issue VAT invoices. You cannot treat any part of a Price as recoverable input tax.

6.2 All Prices, and the minimum order value in clause 4.1, are stated exclusive of VAT, whether or not VAT is currently chargeable.

6.3 If we become registered for VAT, then from our effective date of registration VAT at the prevailing rate will be payable in addition to each Price, and we will issue a valid VAT invoice. This clause takes effect automatically. It does not need the Contract to be varied or re-quoted, and it is not a reason to cancel under clause 8.

6.4 Account Credit is applied against the VAT-exclusive Price of a future Order. If VAT is chargeable on that Order, you pay the VAT in addition, by card, at the time you redeem the credit.

7. Changes to a confirmed Order

7.1 If you want to change a confirmed Order, tell us in writing as soon as you can.

7.2 Changes are at our discretion. Whether we can accommodate a change depends on staff availability, stock and delivery capacity at the time you ask. We will always try, but we are not obliged to agree, and we do not have to give a reason.

7.3 A change takes effect only when we confirm it in writing.

7.4 You can ask to increase headcount at any time up to the Final Changes Deadline, subject to clause 7.2. Any increase is charged at the applicable rate and paid by card before we confirm it.

7.5 Headcount cannot be reduced after the Final Changes Deadline. By that point your food is planned, bought and in production.

7.6 Where we agree a change that reduces the value of your Order, we do not refund the difference. The difference is credited to your Account Credit under clause 8.4 and Schedule 1.

7.7 A change we agree after the Final Changes Deadline is a concession on that Order only. It does not set a precedent and does not oblige us to do the same again.

7.8 We may charge for a change, including for costs we have already committed, ingredients we can no longer use, and re-planning or re-routing. We will tell you the charge before we apply it.

7.9 Substitutions. Ingredients vary with season and supply. We may substitute an item for one of equivalent or better quality, character and value, and we will tell you if the substitution is significant. A substitution is not a breach of the Contract and does not entitle you to reject the Order, to a reduction in the Price, or to cancel. Photographs and menu descriptions show style and are not a promise that your Order will match them exactly.

8. Cancelling an Order, and Account Credit

8.1 We do not give refunds when you cancel. Your money stays with you as credit. If you cancel an Order, we do not refund the Price. We credit the full value to your Account Credit instead, and you can spend it on a future order. Schedule 1 sets out how Account Credit works.

8.2 More than 48 hours before your Delivery Slot. You may cancel by written notice that reaches us more than 48 hours before the start of the Delivery Slot. We will credit the full Price to your Account Credit.

8.3 Within 48 hours of your Delivery Slot, you cannot cancel. Your Order stands, the Price stays paid, and we will deliver it. By this point your food is planned, bought and in production, and your delivery slot and staff are committed.

8.4 If we agree to stand an Order down inside 48 hours. We may agree, entirely at our discretion and as a concession, to stand down an Order inside the 48 hour window. If we do, we will not refund the Price, and we will credit the full value to your Account Credit. Agreeing once does not oblige us to agree again.

8.5 What you are buying. When we confirm your Order we immediately reserve kitchen time, production capacity, a delivery slot and staff, we commit to buying ingredients, and we turn other work away. The Price pays for that commitment as well as for the food.

8.6 This is not a penalty. You are not obliged to take delivery of an Order, and you are not in breach if you cancel one. Clause 8 gives you an option and sets out what it costs. It is not a charge for breaking the Contract and it is not an estimate of our loss.

8.7 If we need to cancel. We may cancel an Order by written notice if an event under clause 15 prevents us performing, if you are in material breach of the Contract, or if you become insolvent or we reasonably believe you are about to. In any other case where we cancel, we will refund the Price to your card in full, and that refund is your only remedy for our cancellation.

8.8 Postponing instead. We may agree, at our discretion, to move an Order to a new date rather than cancel it. A postponement is effective only if we confirm it in writing. Agreeing once does not oblige us to agree again.

9. Delivery

9.1 We will use reasonable endeavours to deliver your Order to the Delivery Address within the Delivery Slot.

9.2 The Delivery Slot is a target, not a promise. It is our honest estimate on the information we have when we give it. It is not a contractual commitment, condition, warranty or guarantee that we will arrive within it.

9.3 Time is not of the essence of the Contract, and cannot be made of the essence. Serving a notice on us does not change this.

9.4 If we are running late, we will tell you. As soon as we know an Order is likely to miss its Delivery Slot, we will contact your site contact on the details you gave us.

9.5 Delivery depends on things we do not control, including traffic, weather, roadworks, vehicle breakdown, third party couriers, building access and security procedures, lifts, loading bays, parking restrictions, and the acts and omissions of you and of third parties.

9.6 If we are significantly late. Where we deliver more than 60 minutes after the end of the Delivery Slot, and the delay is our fault and is not caused or contributed to by you, a third party or an event under clause 15, we will credit 10% of the Price of that Order to your Account Credit. This credit:

(a) is your sole and exclusive remedy for late delivery;

(b) is issued as Account Credit under Schedule 1 and is not refundable in cash;

(c) is capped at 10% of the Price of the affected Order, however long the delay; and

(d) is given instead of, and not in addition to, any other right or remedy.

9.7 Subject to clause 14.2 and clause 9.6, we are not liable for any loss, cost, expense or claim arising from late, delayed, partial or non-delivery, including wasted expenditure, wasted management time, loss of profit, loss of goodwill, loss of contract, loss of reputation, or the cost of arranging alternative catering.

9.8 Delivery is complete when we unload your Order at the Delivery Address, or hand it to someone there who appears to us to have authority to receive it, or leave it there following your instructions. Risk passes to you at that point.

9.9 If we cannot deliver because of something you did or did not do, including no access, no available site contact, refusal to accept, a wrong address or a locked building, your Order is treated as delivered and the Price stays paid. No Account Credit arises. We may charge our reasonable costs of re-delivery, waiting time and disposal.

9.10 Your Order is perishable and time-critical, and we cannot wait at a Delivery Address for more than 20 minutes.

9.11 We may deliver in instalments. A problem with one instalment does not entitle you to reject, cancel or withhold payment on any other.

10. Your responsibilities on site

10.1 You must, at your own cost:

(a) give us accurate and complete information about the Delivery Address, access, security, parking, lifts and any site rules, in good time;

(b) provide safe, lawful and unobstructed access for our people and vehicles;

(c) give us a named site contact who is present and contactable throughout the Delivery Slot

(d) make sure the Delivery Address is safe, clean, adequately lit and suitable for receiving and serving food;

(e) obtain any consents, licences and permissions the Event needs;

(f) take charge of the Order as soon as it arrives, including refrigerating it where needed;

(g) follow any reasonable instructions we give about storage, holding times, handling, reheating and service; and

(h) comply with all applicable law, including health and safety law, at the Delivery Address.

10.2 Chilled food. Chilled food is supplied ready to serve. Once it is delivered, it must be kept refrigerated below 8°C or served and consumed within 4 hours of delivery. We are not liable for food held outside those conditions after delivery.

10.3 Unless your Confirmation says otherwise, disposing of packaging and food waste is your responsibility.

10.4 If something you do or do not do prevents or delays us, we may recover our resulting costs, and we are not liable for the resulting delay.

11. Allergens and dietary requirements

11.1 What we do. We are a registered food business. We operate a documented food safety management system based on HACCP principles, and we hold written allergen ingredient information for every item we supply.

11.2 We will give you allergen information for every item in your Order, in writing, before we confirm it and again at delivery, covering the 14 allergens that must be declared under assimilated Regulation (EU) No 1169/2011 and the Food Information Regulations 2014.

11.3 What we need from you. You confirm that you have:

(a) asked every Guest about allergies, intolerances and dietary requirements;

(b) told us about all of them in writing before the Final Changes Deadline; and

(c) passed our allergen information to every Guest, in full and unaltered.

11.4 We never meet your Guests and cannot ask them anything, so we rely entirely on you for this. You are responsible for the accuracy of the dietary information you give us, and for passing our allergen information on.

11.5 You will indemnify us against claims, losses, costs, fines and expenses arising from a breach of clause 10.2 or clause 11.3, except to the extent the claim arises from our own negligence or our breach of clause 11.1 or 11.2.

11.6 Cross-contamination. Our kitchen handles all 14 declarable allergens. We take all reasonable precautions, but we cannot guarantee that any item is free from any allergen, and we make no "free from" claim unless your Confirmation expressly says so in writing.

11.7 Nothing in this clause limits our liability under clause 14.2. We do not exclude, and cannot exclude, our liability for death or personal injury caused by our negligence, or for the quality and safety of the food we supply.

12. Our equipment

12.1 Any urn, platter, chafing dish, stand, linen, crockery, cutlery or other equipment we supply stays our property and is lent to you. It must be returned clean, undamaged and complete by the time shown on your Confirmation, or within 2 Business Days of the Event if no time is shown.

12.2 From delivery until collection or return, our equipment is your responsibility and at your risk.

12.3 We may charge the reasonable cost of replacement or repair, plus a reasonable administration charge, for anything not returned or returned damaged. We will tell you the charge before we apply it.

12.4 You must not part with possession of our equipment or allow any charge or lien over it.

13. If something goes wrong

13.1 Tell us during the Event. If there is a problem with the quality, quantity or condition of your Order, please contact us while the Event is happening, so we have a chance to put it right.

13.2 Please confirm it in writing within 24 hours of delivery, with photographs, and keep the food affected so we can look at it. Food is perishable and the evidence disappears quickly, which is why we ask for this. If we cannot investigate because these steps were not followed, we may decline the complaint on that basis.

13.3 We will acknowledge a complaint within 1 Business Day and respond substantively within 5 Business Days.

13.4 Where we accept that something went wrong, we will put it right by replacing the affected item, or by issuing Account Credit, or by refunding the affected part of the Price, as we reasonably think appropriate in the circumstances.

13.5 Please use this process before raising a chargeback. Clause 5.6 explains what happens if you do not.

14. Our responsibility to you

14.1 Please read this clause carefully. It sets out the limits of what we are responsible for.

14.2 What we never limit. Nothing in these terms excludes or limits our liability for:

(a) death or personal injury caused by our negligence, under section 2(1) of the Unfair Contract Terms Act 1977;

(b) fraud or fraudulent misrepresentation;

(c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982 (title);

(d) breach of the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 (description, satisfactory quality and fitness for purpose), which we do not seek to exclude or limit for any food we supply;

(e) defective products under the Consumer Protection Act 1987; or

(f) anything else that cannot lawfully be excluded or limited.

14.3 What we do not accept. Subject to clause 14.2, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

(a) loss of profit, revenue, business, contract, opportunity or anticipated saving;

(b) loss of goodwill or reputation;

(c) wasted expenditure or wasted management time;

(d) loss or corruption of data; or

(e) indirect or consequential loss, whether or not foreseeable and whether or not we were told it might happen.

14.4 Our limit. Subject to clause 14.2, our total liability for any Order is limited to the greater of the Price of that Order and £2,500

14.5 Why thislimit is reasonable. You acknowledge that this limit was drawn to your attention before you ordered; that it reflects the Price and the fact that an individual Order is small relative to your own spend on the Event; that you are far better placed than we are to judge and insure the value of your own Event; and that we consider it fair and reasonable in the circumstances known to us when the Contract was made.

14.6 Time limit. Subject to clause 14.2, we are not liable for any claim unless you tell us about it in writing within 6 months of the Delivery Slot and issue and serve proceedings within 12 months of the Delivery Slot.

14.7 Each part of this clause 14 operates separately. If any part is held unreasonable or unenforceable, the rest continues to apply.

15. Events outside our control

15.1 We are not in breach of the Contract, and are not liable, for any delay or failure caused by something beyond our reasonable control. This includes act of God, fire, flood, extreme weather, epidemic or pandemic, war, terrorism, civil unrest, industrial action (including by our own staff), failure of utilities, telecoms or IT, power cuts, fuel shortage, refrigeration failure, road closures, road traffic accidents, failure or delay by a supplier or subcontractor, ingredient shortages, import restrictions, the acts of any government or public authority, and the collapse of buildings or plant.

15.2 If such an event prevents delivery, we will tell you, and we may either reschedule your Order or credit it to your Account Credit under clause 8.1.

15.3 If the event goes on for more than 30 days, either of us may cancel the affected Order by written notice, and clause 15.2 applies.

16. Data protection

16.1 We both comply with the UK GDPR and the Data Protection Act 2018.

16.2 Dietary requirements: please send us numbers, not names.

(a) When you tell us about dietary requirements, give us counts, not names. "Three gluten free, one no nuts" is what we need and all we ask for. We label by requirement rather than by person, and you match them to your people at your end.

(b) Please do not send us your Guests' names alongside their dietary requirements, and please do not send us medical information about anyone. If you do, we will record the requirement, delete the name or the medical detail, and keep neither.

(c) We are not your processor. We use dietary information to meet our own obligations under food safety law, and we decide how to use it, so we cannot act on your instructions in respect of it. Where we hold any personal data about a Guest, we hold it as an independent controller. Neither of us is the other's processor, and neither of us is a joint controller with the other. Because we ask for counts, we do not normally hold personal data about your Guests at all, and no data processing agreement is needed or appropriate for a website order. If your procurement process requires one, please contact us before you order.

(d) We will only hold named dietary information where we have agreed to in writing in advance. Please do not send it on the assumption that we can accept it.

(e) You confirm that, for anything you do send us about an identifiable person, you have a lawful basis and, where required, an Article 9 condition, and that you have given that person the privacy information the law requires, including that we are a recipient.

(f) You will indemnify us against any claim, loss, cost, fine or penalty arising from a breach of this clause 16.2.

16.3 We use the personal data you give us only to fulfil your Order and to meet our food safety and legal obligations, and we delete it in line with our retention schedule. Our Privacy Notice explains this in full.

16.4 Our Privacy Notice is at [INSERT URL] and forms part of the Contract for data protection purposes.

17. Other important terms

17.1 Our menus and recipes. Our recipes, menus, menu descriptions, photographs and branding stay ours, and you acquire no rights in them. Please do not pass our menus or recipes to a competing caterer to obtain a competing quote.

17.2 Photographs. We may photograph an Order as delivered and use the images in our marketing, as long as no name, logo, Guest, confidential information or identifiable premises of yours appears without your written consent.

17.3 Confidentiality. We each keep the other's confidential information confidential and use it only to perform the Contract. This does not apply to information that is public through no breach, was already lawfully held, is independently developed, or must be disclosed by law or a regulator.

17.4 Entire agreement. The Contract is the whole agreement between us on its subject matter and replaces anything said or written before it. Neither of us relies on any statement not set out in it. This does not limit liability for fraudulent misrepresentation.

17.5 Precedence. If there is a conflict, these terms come first, then the Confirmation, then the Order. No other document has contractual effect.

17.6 Transfers. You may not assign, transfer or subcontract your rights or obligations without our written consent. We may assign or subcontract ours, and we stay responsible for our subcontractors.

17.7 Waiver. If we do not enforce a right, or delay in enforcing it, that does not waive it.

17.8 Severance. If any provision is invalid, illegal or unenforceable, it is modified to the minimum extent needed to make it work, or deleted if that is not possible. The rest is unaffected.

17.9 Notices. Notices must be in writing and sent to the email address on the Confirmation. An email notice is treated as received at 9.00 am on the next Business Day after it is sent, as long as no delivery failure comes back.

17.10 Third parties. No one other than you and us has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce these terms.

17.11 No partnership. Nothing here creates a partnership, joint venture or agency, and neither of us can bind the other.

17.12 Changes to these terms. We may change these terms from time to time. The terms that apply to your Order are the ones published on our website when you place it.

18. Law and jurisdiction

18.1 The Contract, and any dispute or claim arising out of or in connection with it, its subject matter or its formation (including non-contractual disputes or claims), is governed by the law of England and Wales.

18.2 We each submit to the exclusive jurisdiction of the courts of England and Wales.

18.3 Before either of us issues proceedings, we will both use reasonable endeavours to resolve the dispute by a meeting between senior people within 14 days of written notice of it. This does not stop either of us seeking urgent interim relief or pursuing an undisputed debt.

Schedule 1: Account Credit

1. Account Credit is a credit balance we hold in your name. You can spend it on future orders with us.

2. It is not a refund, a deposit, a loan, a stored value instrument, electronic money or a payment service, and it cannot be converted into cash.

3. Account Credit is valid for 12 months from the date we issue it, and expires at midnight on the last day. Once it expires it is gone and no refund is due.

4. We will tell you in writing the balance and the expiry date when we issue it, and again 60 days and 14 days before it expires, to the email address on your Confirmation. That is a contractual obligation, not a courtesy.

5. Account Credit is applied automatically to your next Order unless you ask us in writing to hold it. If the Order costs more than your credit, you pay the balance by card. If it costs less, the remainder stays on account with its original expiry date. We redeem credits oldest first.

6. Account Credit belongs to the business named on the Confirmation. It cannot be assigned, sold, transferred or used by anyone else, including a group company, unless we agree in writing.

7. Account Credit is applied against the VAT-exclusive Price. See clause 6.4.

8. We may suspend redemption while any sum is overdue from you.

9. We will send you a statement of your Account Credit within 5 Business Days of a written request.

10. If you raise a chargeback in respect of a credited Order, clause 5.6 applies and the credit is cancelled.
